A code of conduct is a document that defines a company or an organization’s employee conduct on a day-to-day basis. A company’s code of conduct reflects an organization’s daily operations and the company’s principles of operation, values, and the overall company’s organizational culture. Therefore, a code of conduct is unique to an organization. The development of a great code of conduct requires an adequate understanding of the organization and why the code of conduct is being developed. 

The needs of the organizational personnel should define what should be included in a code of conduct. Additionally, what is included in the code of conduct should also be in harmony with the specific industry in which an organization operates and not conflict with the local regulatory environment. Also, the code of conduct should not be a legalistic “thou shall not…” code but should clearly state the organization’s needs. A good code of conduct should take a “value-based” approach in which the employees’ acceptable behaviors are outlined with the space for raising concerns and asking questions. Furthermore, the contents of the code of conduct should be equally applicable to everyone. They should only contain guidelines and principles that only promote cohesion and effective governance at every level in the organization. A code of conduct that is embedded in all these principles and considerations will be a crucial ingredient to enhance effective corporate governance in organizations.

The code of conduct is the heart of every company and organization. An effective code of conduct is the sum result of the needs of an organization’s personnel and the desired corporate culture. When a code of conduct follows these principles, there is a high likelihood that the staff of an organization or company will meet the standards, expectations, and the desired behaviors as outlined in the code of conduct.
