DATED this 15 day of February, 2020

I. PARTIES: 

A. Seller: Boca Raton County, a Division of the Florida District. 

B. Purchaser(s): Sally Face (a single person) 

II. PROPERTY: 

A. Tax Parcel Number(s): 250873

B. Legal Description: This contract agreement binds the two parties in the sale of Boca Raton Palm Beach Resort in the amount agreed upon by the two parties: $ 100 million 

C. Included Items: All structures and upgrades existing on the property as of the date of this understanding, alongside all close to home property existing on the property at the hour of shutting.

III. PURCHASE PRICE: The Florida County has come to an agreement with Sally Face to sell Boca Raton Beach Resort at the prices amounting ($ 100 million) , remembering Earnest Money for the measure of (least of 1% of the offered price tag); to be saved by the Purchaser(s) as money to be held by the Closing Agent. Buyer concurs to follow through on the buy cost in full in real money at shutting. The Purchaser therefore speaks to that Purchaser(s) have accessible adequate assets to bring this deal to a close as per this understanding, and is not depending upon any unforeseen source of such supports except if in any case explicitly is put forward herein.

IV. CONTINGENCIES: 

A. Vender Contingencies: 

1. Property Declared as surplus by Florida County;

2. Evaluation of the property acquired by Florida County;

3. Property reported available to be purchased at a 2:00 p.m. with a meeting of the Board of County Officials with a grace period of not less than 10 days in notice in a paper perceived for a lawful obligation;

4. Property offered available to be purchased at 5:00 p.m. in a meeting of the

Board of County Land Purchase and Sale Agreement Commissioners, during which the following conditions shall be fulfilled: -

CONDITIONS FOR THE SALE OF THE PROPERTY 

a. Composed ideas for buy got preceding the meeting are exhibited to the Board by the County Engineer.

b. Head of the Board permits singular remark from the members present and asks regardless of whether others present wish to offer more for the property than the offers received through the County Engineer as expressed in passage an above (Miller & Cross, 2013).

c. Offers, assuming any, are gotten notification from the floor. On the off chance that more than one offer is produced using the floor, at that point an exchange of the property will be led. All offers produced using the floor, will be submitted recorded as a hard copy, utilizing this Real Estate Purchase and Sale Understanding structure, to the County Engineer no later than 5:00 p.m. on the accompanying business day. Any idea from the floor that isn't diminished to composing and submitted to the County Engineer as required by this section c, will not be considered as a legitimate idea by the County.

d. On the off chance that no offers are produced using the floor as portrayed in passage c over, the Board will conclude whether to acknowledge or counter any of the offers introduced to the Board as portrayed in passage above.

e. On the off chance that there are offers from the floor as portrayed in section c over, the Board will consider all ideas at the following gathering of the Board and will choose which of the offers displayed at the gathering as per passage c over that the Board will be acceptable, assuming any.

5. By acknowledgment of this idea as depicted above in Seller Contingencies, Seller forgoes the Seller Contingencies (Frey, 1988).

TIME FOR ACCEPTANCE AND CLOSING 

This offer is void if not recognized by Seller recorded as a printed copy at the most recent 5:00 P.M. of the multi day of February, 2020
